GS1 Product Launch Specific Terms and Condition of Use

This Agreement
The GS1 Product Launch Specific Terms (“GS1 Specific Terms”), in addition to the GS1 General Terms for GS1 Services (“GS1 General Terms”), set out the terms and conditions which govern Your access to and use of the GS1 Product Launch Service.
By accessing and using the GS1 Product Launch Service (“GS1 Service”) you agree to the:
GS1 Specific Terms;
GS1 General Terms;
the Order Form; and
GS1 National Product Catalogue Specific Terms (“GS1 NPC Specific Terms”).
(together the “GS1 Terms”)
In the event of an inconsistency in the GS1 Terms, the order of the documents as presented in this clause will prevail to the extent of the inconsistency.
The Service
By submitting the Order Form, You acknowledge that You have read, understood and agree to the GS1 Terms and that You will be bound upon GS1 Australia accepting Your Order Form or otherwise providing You with access to the GS1 Service.
This Agreement does not affect any other terms and conditions to which You are subject including those applying to You as a GS1 Australia Member or as a user of any other GS1 Service. You agree to continue to comply with all such terms and conditions, including insofar as they apply to any use of the GS1 Service, provided that, to the extent of any inconsistency, the terms and conditions of this Agreement shall prevail in respect of any matter relating directly to the GS1 Service.
You understand that in providing the GS1 Service:
the National Product Catalogue is the means by which GS1 Australia shares images, product item and price information for the Products on the Order Form that you have approved with your Trading Partners;
GS1 Australia will publish the Product information on the NPC on Your behalf; and
You may apply for unrestricted access to the National Product Catalogue (NPC Plus) at any time and standard fees and terms will apply.
Ongoing Data Maintenance
The GS1 Service includes an ongoing service agreement for any assistance requirements to manage and maintain the Deliverables on Your behalf (“Product Launch Data Maintenance”).
Product Launch Data Maintenance has no end date and survives the Order Form for the GS1 Service.
Where You request Product Launch Data Maintenance in writing, where applicable, GS1 Australia will provide estimates for each Product Launch Data Maintenance request. Each estimate will expire 14 days from the date it is provided and will include:
the estimated effort required to meet the request; and
the time and materials rate applicable to the request.
Your Obligations
You agree:
to appoint Authorised Personnel to liaise with GS1 Australia for the purpose of providing the GS1 Services to You;
it is Your or Your Authorised Personnel’s responsibility to check all images loaded, including the image restrictions using the service tools provided by GS1 Australia and to advise GS1 Australia promptly of any changes required or omissions in writing;
You are responsible for costs associated with delays to any delivery schedule specified in the Order Form caused by You or resulting from Your failure to fulfil any of Your obligations;
You must nominate on the Order Form if you will collect or arrange for the return of the Products within 7 days of GS1 Australia supplying the GS1 Services to You. You understand that:
if You wish GS1 Australia to return the Products to You additional Fees will apply; and
if you do not nominate the Products to be returned to You, the Products will become the property of GS1 Australia to deal with as appropriate at its discretion;
You must nominate on the Order Form if you do not want Your Product photographs to be used for marketing and promotional purposes by GS1 Australia;
where You wish additional Recipients to have access to the Product information You must submit a Product Launch Data Maintenance request in accordance with clause 3.0 and pay the applicable Fees on the Order Form; and
as part of the GS1 Service, GS1 Australia will upload the Product information on the NPC on Your behalf and You will be bound by the GS1 NPC Specific Terms to the extent that they are relevant to the provision of the GS1 Service.
GS1 Rights and Obligations
GS1 Australia:
will supply the GS1 Service when You submit and GS1 Australia accepts a completed Order Form for each Product;
Will supply the GS1 Service in accordance with the details set out in the Order Form and written instructions requested by GS1 Australia which are required to supply the GS1 Service;
will supply the GS1 Service on a per Product basis and all Products specified in the Order Form to be delivered in one delivery;
will require You to resubmit a new Order Form where any order is not commenced and completed within two months of the accepted Order Form date as a result of Your delays;
will provide access to the Product information it publishes on the NPC on Your behalf to the Recipient specified on the Order Form or to additional Recipients where requested in accordance with clause 4.1(e); and
GS1 Australia must use reasonable commercial efforts to perform the GS1 Service in accordance with the GS1 Terms.
Fees
Unless otherwise agreed to in writing between You and GS1 Australia, the GS1 Terms of Trade will govern the payment of the Fees.
You must pay GS1 Australia the Fees for the GS1 Service set out in the Order Form and as otherwise communicated to You.
You understand and agree that:
GS1 Australia will invoice You in advance for the GS1 Service; and
Payment of the full invoiced amount is required prior to the commencement and delivery of the GS1 Service.
Intellectual Property
In addition and subject to the rights under GS1 General Terms, upon Your acceptance of a Deliverable, and payment of the Fee in full, GS1 Australia grants You a non-exclusive, perpetual, non-transferable licence to use such Deliverable for Your own internal business purposes.
You understand that the licence granted under clause 6.1 does not confer ownership in the Deliverables and rights in any associated software source code, and is not a sale of any rights in the Deliverables or the media on which it is recorded or printed.
Termination
The GS1 Service is an “entry level” service and if You have a concurrent active subscription to both NPC Services (NPC Master Data and NPC Digital Content), where You unsubscribe from the GS1 NPC, the Deliverables uploaded to the NPC on Your behalf as part of the GS1 Service will be removed from the NPC.
Either GS1 Australia or You may terminate the Product Launch Data Maintenance agreement at any time in writing.
Definitions
In these GS1 Specific Terms, the following words have these meanings unless a contrary intention appears. Other meanings not specified below are set out in the GS1 General Terms:
Content means Product images, Product photography, Product information, Product certifications, Product related reports or other digital data and files relating to Products provided by the Publisher to GS1 for purposes of inclusion in the GS1 Smart Media service and includes, without limitation:
any images, photography, information, certification, reports and other digital data and files updated by GS1 on the Publisher’s behalf; and
any images, photography, information, certification, reports and other digital data and files transferred from, or linked to, in accordance with the GS1 Smart Media Rules (including, without limitation, data transferred from, or linked to, from other GS1 data services such as the National Product Catalogue service) (whether by You or GS1 on the Publisher’s behalf); and
any images, photography, information, certification, reports and other digital data and files provided by any third party on the Publisher’s behalf; and
any images, photography, information, certification, reports or other digital data linked to in any website designated by the Publisher.
Deliverable(s) means the tangible result(s) or outputs of the GS1 Product Launch Service provided by GS1 Australia to You as described in the Order Form and written instructions You have provided. Deliverables include, but are not limited to, bar code verification reports, product images and digital content about Your Items.
Fee means the fee for the GS1 Service as set out in the Order Form and as communicated to You in writing by GS1 Australia for any Product Launch Data Maintenance Request.
GS1 Services means any services or supplies offered by GS1 Australia from time to time other than the GS1 Product Launch Service under this Agreement such as, but not limited to, GS1 Registry Platform and GS1 Registry Services, Trusted Content Services, Smart Media, Recall and Recall Health.
National Product Catalogue means the suite of on-line catalogue services operated by GS1 for the maintenance and publishing, retrieval or synchronisation of master data and digital content. It includes the publishing and distribution platforms FSANZ NPC Portal, NPC Publisher, National Product Catalogue, NPC Recipient and NPC Digital Content (formerly known as Smart Media), a validation component National Product Catalogue Business Validation Rules for the validation of all inbound on-line messages, and the GDSN Global Registry which records the GTIN, Publisher's GLN, GPC code and Target Market code of each item. For avoidance of doubt, the GS1 Registry Platform is separate from the National Product Catalogue.
NPC Services means any services that GS1 Australia offers, currently or in the future, to facilitate the publishing, maintenance, retrieval and synchronisation of master data and digital content of the National Product Catalogue and includes the services NPC Master Data and NPC Digital Content.
Product Launch Data Maintenance has the meaning given in Clause 3.0.
GS1 Product Launch Services means activities such as product photography, bar code verification, content creation and use of the National Product Catalogue as set out in the Agreement.
Publisher means a person who has subscribed to the Product Launch Service with the intent of Deliverables concerning their products being published to one or more recipients.
Recipient means a person who has access to Deliverables published to them by, or on behalf of, Publishers.
Order Form means the order form which must be completed by You in order to receive the GS1 Product Launch Services pursuant to the GS1 Terms.
Trading Partner means, in respect of a Publisher:
a retailer (including online retailer), wholesaler or buying group of the Publisher’s Products;
a government department or agency who acquires the Publisher’s Products (including any government health department or health agency) or any public or private hospital or other health care services provider who acquires the Publisher’s Products; or
a person belonging to any similar class of persons published by GS1 from time to time as being a “Trading Partner” who acquires the Publisher’s Products.
